Business Ethics Policy

This Business Ethics Policy ("the Policy") outlines the principles and expectations governing the behavior of individuals and entities in any business dealings involving our company. It applies to all employees, officers, directors, contractors, consultants, and agents (collectively, "Affiliates").

Ideanote holds itself and its Affiliates to the highest ethical standards. This Business Ethics Policy serves as a guide for conducting our business responsibly, ethically, and within the bounds of legal conformity. Adhering to this Policy not only reflects our corporate values but also ensures our long-term success and reputation as a company of choice.

1. Compliance with Laws, Rules, and Regulations

Ideanote Affiliates must conduct their business activities in full compliance with all applicable laws and regulations, and with the highest standards of ethical behavior, integrity, and fairness.

2. Conflict of Interest

Affiliates are required to avoid any personal or financial interests that could conflict with their responsibilities to Ideanote. Disclosure of any potential or actual conflicts of interest must be made to the Legal and Compliance Department for evaluation and management.

3. Protection and Proper Use of Company Assets

All Affiliates are responsible for safeguarding and making proper and efficient use of Ideanote's assets, including physical property, proprietary information, and intellectual property.

4. Confidential Information

Confidential information must be handled with the utmost care. Affiliates must not disclose any non-public information entrusted to them by the company, its business partners, or customers unless authorized or legally mandated.

5. Fair Dealing

Every Affiliate should deal fairly with Ideanote’s customers, suppliers, competitors, and fellow Affiliates. No one should take unfair advantage through manipulation, concealment, abuse of privileged information, misrepresentation of material facts, or any other unfair-dealing practice.

6 Anti-Corruption and Bribery

Ideanote maintains a zero-tolerance policy on corruption and bribery. Affiliates must not engage in any form of bribery, kickbacks, or other illegal payments or inducements to secure business or favors.

7. Entertainment and Gifts

Acceptance or provision of gifts and entertainment can only take place when it is modest and aligned with customary business practice. Any exception to this rule must be examined by the Legal and Compliance Department.

8. Discrimination and Harassment

Ideanote is committed to maintaining a workplace free of harassment and discrimination. Employment decisions and interactions must be based only on qualifications, performance, skills, and experience, without regard to any individual's protected characteristics.

9. Health, Safety, and Environment

The health and safety of our employees and the public, as well as the protection of the environment, are integral to Ideanote’s operations. All practices and activities must comply with applicable environmental, health, and safety laws and regulations.

10. Reporting Violations and Whistleblower Protection

Affiliates are encouraged to report any suspected violations of this Policy or illegal actions. Ideanote provides channels for reporting concerns and ensures that reports will be investigated promptly and without fear of retaliation.

11. Enforcement and Discipline

Violations of the Policy may result in disciplinary action, up to and including termination of employment or contract. Furthermore, some violations may carry legal consequences.
