By using our website and subdomains, excluding customer-created subdomains and the Ideanote Webapp, (the “Website”), you accept these Website Terms, Privacy Policy and Cookie Notice  (“Agreement”). Ensure you read and understand them before use. If not, please refrain from using our Website. We may update these terms at any time, and by continuing to use the Website, you consent to these changes.

1. Website Privacy Policy

1.1. Information We Collect

By agreeing to the Privacy Policy, You authorize Us to collect, store, and manage Your Personal Information as detailed herein. We gather both "Non-Personal" and "Personal Information."

Non-Personal Information comprises data that doesn't identify You, such as usage trends, demographic info, and website navigation details.

Personal Information refers to details You provide during website registration, including Your email, phone number, and name. You can also add more information at Your discretion. If You're representing a company, You may use its name as identification. To update any incorrect or incomplete data, visit the "Settings" on Our website or contact Us directly.

The sources of this third party Personal Information may include contact enrichment and lead generation providers and and targeted online advertising providers 

1.2. Cookies

In an effort to improve the quality of the Website, We track information provided to Us by Your browser, such as the website You came from (known as the “referring URL”), the type of browser You use, the device from which You connected to any of Our Website, the time and date of access, and other information that does not personally identify You. We track this information using cookies or small text files which include an anonymous unique identifier. This allows Us to collect Non-Personal Information about You, such as keeping a record of Your theme preferences.

We may use both persistent and session cookies. 1.3. Use of Personal Information

We don't sell or trade Your Personal Information to third parties without Your consent. However, We do share it with vendors performing services for us. For instance, Your email may be shared with an external vendor for sending emails on Our behalf. All vendors are instructed to use Your Personal Information strictly as We direct and are selected based on their compliance with Our privacy and security standards. Note that some services may require transferring Your data to U.S.-based servers.

We primarily use Your Personal Information to communicate with You and enhance Our website experience. This could involve contacting You for feedback, technical support, or to share promotional offers in line with Your preferences. You can opt out of Our marketing emails at any time.

For other business purposes, We may use aggregated and anonymized data that can't be linked to individual users.

In general, We use Non-Personal Information to help Us improve Our Website and customize Your experience. We also aggregate Non-Personal Information in order to track trends and analyze usage patterns on Our Website. 

We also reserve the right to perform aggregate analysis of content submitted by Our Members, as long as the sample size is large enough for Members and customers to remain anonymous. This Agreement does not limit in any way Our use or disclosure of Non-Personal Information, and We reserve the right to use and disclose such Non-Personal Information to Our partners, advertisers and other third parties at Our discretion.

1.5. Transfer of Information

We may share your personal information within the Ideanote corporate family to enhance our services. This information may also be provided to consultants and vendors that assist in operating our website and performing business operations, along with third-party sub-processors. In line with our Cookie Policy, third-party advertising companies may use cookies and similar technologies to tailor advertisements to your activities on our website and across online services.

Our professional advisors, such as lawyers, auditors, and insurers, receive information necessary for the provision of their professional services to us. For compliance with legal requests and law enforcement, we may disclose your personal information to protect rights, privacy, safety, and property, and to uphold this Agreement. Additionally, to prevent and address fraudulent or illegal activities, including cyberattacks and identity theft, sharing of your data may occur.

Should Ideanote engage in a business transaction like a merger, acquisition, or asset sale, your personal information may be among the transferred assets. This transfer is permissible under this Agreement, and any acquiring entity may continue to process your personal information as stated herein.

We also reserve the right to share aggregated or anonymized data, which does not personally identify you, with third parties and the public. The shared information typically involves general usage and technical metrics. If laws require us to treat such aggregated or anonymized data as personal information, we will disclose it accordingly. Otherwise, it may be shared freely.

Please note that this Agreement applies solely to the information processed by us. For your personal information's treatment on third-party websites linked from our sites, you should consult their respective privacy policies.

1.6. Retention

We retain Your Personal Information only for as long as necessary to fulfill the purposes set out in this Agreement. If You would like more information about specific retention periods please contact legal@ideanote.io. Note that content You post may remain on the Sites even if You cease using the Sites or We terminate access to the Sites.

1.7. How We Protect Information

We implement security measures designed to protect Your information from unauthorized access. Your account is protected by Your account password and We urge You to take steps to keep Your Personal Information safe by not disclosing Your password and by logging out of Your Account after each use. 

We further protect Your information from potential security breaches by implementing certain technological security measures including encryption, firewalls and secure socket layer technology. However, these measures do not guarantee that Your information will not be accessed, disclosed, altered or destroyed by a breach of such firewalls and/or secure server software.

1.9. Your Privacy Rights

Depending on Your location and subject to applicable laws, You may have certain data protection rights. We respect those rights. We will need to verify Your identity to process Your information, access, and deletion requests. These rights are not absolute, and in some instances, We may decline Your request as permitted by law.

1.10. Communication

We might choose to communicate with You via electronic means (e.g. SMS, chat, emails), via post and via telephone calls. We might forward notifications about activity on any of Our Website, that We deem relevant for You, to Your e-mail or as a Push Notification. 

Ideanote will not forward marketing material from third parties to You. If You choose to contact Our customer service We retain the right to write back, call or otherwise contact You back.

We will forward product news, contests or useful information on how to use Our Service that We deem relevant to Your use of Our Website as We see fit. You can opt out of communication sent to You by unsubscribing from Our emails or by contacting Us directly.

2. Website General Terms

2.1. Website Eligibility

Our Website and Sites are not intended for use by anyone under the age of 16. Ideanote does not knowingly collect Personal Information from anyone under the age of 16. If You are under 16, You may not attempt to register for Our Website or send any information about Yourself to us, including Your name, address, telephone number, or email address. 

If We become aware that We have collected Personal Information from someone under the age of 16 without verification of parental consent, We will delete that information promptly. If You are a parent or legal guardian of a child under 16 and believe that a child has provided Us with their Personal Information, please contact Us at the email or mailing address provided at the end of this Agreement.

2.3. Intellectual Property

The Website and its original content, features, and functionality are owned by Ideanote and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

2.4. User Content

When you transmit or submit any content, information, or data to or through our Website ("Website Content"), you are granting Ideanote a non-exclusive, worldwide, royalty-free, perpetual, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such Website Content for providing and improving the Website.

2.5. Prohibited Conduct

You agree not to use the Website to:

  • Post, upload, share, or distribute content that is illegal, obscene, threatening, defamatory, infringes the intellectual property of any party, or is otherwise objectionable;
  • Conduct fraudulent or illegal activities;
  • Attempt to gain unauthorized access to any portion or feature of the Website, or any other systems or networks connected to the Website;
  • Probe, scan, or test the vulnerability of the Website or any network connected to the Website;
  • Scrape or crawl the contents of the Website for any other purpose than indexing for search engines;
  • Engage in any activities that could damage, disable, overburden, or impair the Website.

3. Disclaimer

The Website is provided on an "AS IS" on an "AS AVAILABLE" basis. The Website is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Ideanote, its subsidiaries, affiliates, and licensors do not warrant that:

  1. The Website will function uninterrupted, secure, or available at any particular time or location;
  2. Any errors or defects will be corrected;
  3. The Website is free of viruses or other harmful components; or
  4. The results of using the Website will meet your requirements.

4. Limitation of Liability

In no event shall Ideanote, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  1. Your access to or use of or inability to access or use the Website;
  2. Any conduct or content of any third party on the Website;
  3. Any content obtained from the Website; and
  4. Unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed its essential purpose.

5. Governing Law

This Agreement is governed by Danish law. Not enforcing any part of this Agreement does not mean we waive our rights. If a court finds any part invalid, the rest still applies. This Agreement is the full understanding between us and replaces any previous Website agreements. This Agreement constitutes the entire agreement between us regarding our Website and supersedes any prior agreements we might have had between us regarding the Website.

6. Changes

We reserve the right to modify this Agreement at any time, and we will notify you of any changes by posting the updated Agreement on our Website. Your continued use of the Website after such modifications constitutes your acceptance of the modified Agreement.
